1. Eligibility & age

Products are offered solely to qualified research professionals and institutions. By placing an order you represent and warrant that you are at least 21 years of age, are acquiring the materials for legitimate in-vitro laboratory research, and are authorized to do so under your institution’s policies and all applicable law. We may request documentation of research affiliation or end use and may decline any order at our discretion.

2. Acceptance of these terms

By acknowledging our entry notice, placing an order, or otherwise using this site, you agree to these Terms of Sale and to our Compliance & Research-Use Policy and Privacy Policy, which are incorporated by reference. If you do not agree, do not use the site or order any product. If you are ordering on behalf of an organization, you represent that you are authorized to bind it to these terms.

3. Research Use Only

All products are sold strictly as in-vitro laboratory research materials. They are not drugs, foods, cosmetics, or dietary supplements, are not for human or veterinary use, and have not been evaluated or approved by the FDA or any regulatory authority for the diagnosis, treatment, cure, mitigation, or prevention of any disease or condition. You agree not to use, administer, resell, repackage, or relabel any product for any non-research purpose.

4. Prohibited uses & anti-diversion

You agree not to ingest, inject, or administer any product to humans or animals; not to use any product in a clinical, diagnostic, or therapeutic setting; and not to resell or distribute any product for consumption or any non-research purpose. We may limit quantities, verify end use, and hold or cancel orders that appear intended for prohibited use. Full restrictions are set out in our Compliance & Research-Use Policy.

5. Orders & pricing

All orders are subject to acceptance and product availability. Prices are listed in US dollars and may change without notice. We reserve the right to limit quantities, correct pricing errors, and refuse or cancel any order. No order is binding on us until we accept it and ship it.

6. Payment

Payment is due at the time of order unless net terms have been established for an approved institutional account.

We accept Venmo, X Money and Cash App; the cryptocurrencies Bitcoin, Ethereum, USDT (ERC-20, TRC-20 or Solana) and USDC (ERC-20, Solana or Base); and credit and debit cards. For Venmo, X Money, Cash App and cryptocurrency you pay directly through the provider you choose, using the payment details and order ID shown at checkout, and such an order is not processed until we have matched your payment to it — which is why the order ID must appear in the payment note or reference.

Card payments and your statement. Card payments are handled by a third-party payment processor on its own secure page; no card number is entered on this site, transmitted to us, or stored by us. A card charge appears on your statement as FLOW GRADE, not as Elyria Bio. FLOW GRADE is that processor’s billing name. It is shared with other merchants the processor serves, and no telephone number or web address can be added to it, so it will not name Elyria Bio or say what you ordered. The amount charged matches the order total shown at checkout and in your confirmation email — that email is the record to check first if you do not recognise a charge.

Unsuccessful card attempts. A declined or abandoned card attempt may leave a temporary authorisation hold for the order amount, under that same billing name. A hold is not a charge; your bank releases it, typically within a few business days.

Venmo — Purchase Protection must be off. Venmo’s Purchase Protection applies to payments marked as goods and services. These are research materials sold under our Research Use Only terms, and a goods-and-services payment is a different transaction from the one you agreed to at checkout. An order paid with Purchase Protection enabled will be cancelled and the payment returned to you. Send as friends and family.

Cryptocurrency amounts are quoted from live market prices at the time you open the payment screen, and the quoted amount is the amount due. Refunds on orders paid in cryptocurrency are governed by section 8.

7. Shipping & risk of loss

Orders ship within approximately 48 hours in protective, tamper-evident packaging. Title and risk of loss pass to you upon delivery to the carrier. Delivery dates are estimates and not guaranteed. You are responsible for providing a lawful, attended delivery destination appropriate for research materials.

8. Returns

We do not accept change-of-mind returns. A vial that has left our custody has no verifiable storage history and cannot be returned to stock, so we cannot resell it and will not accept it back. Please order only what you intend to use.

What we do accept. We accept a claim that material does not conform to its published specification, supported by a third-party laboratory report. A claim must be reported within 30 calendar days of delivery — not of purchase and not of dispatch, which for a presale item can be several weeks earlier.

This 30-day period is the deadline for the warranty in section 11. That warranty covers conformance to the published specification and nothing else. A claim made after 30 days from delivery is out of time, and no separate return right survives it.

How to make a claim.

  1. Contact QC support with your order number and what you believe is wrong.
  2. Photograph the vial and its label as received, before opening, and keep the outer packaging.
  3. Submit one unit for analysis. You may submit one unit from the order to a qualified laboratory for independent analysis — one, whether you bought one or ten. The laboratory must be accredited to ISO/IEC 17025 for the test performed, or be another laboratory we accept in writing. Ask us before you pay for a test; we would rather answer that question early than argue about it afterwards. Sample preparation is the laboratory’s to determine, according to the method it runs.
  4. Do not return the analysed unit. It is consumed as evidence. Once analysis is complete the laboratory report is what we rely on; we cannot verify how the material was handled after it left our custody, and shipping it back would create a problem for no benefit.
  5. Return the remainder, sealed. Every other unit from that order must be unopened and in its original sealed condition, and comes back to us as part of the claim. We pay return postage. If we do not accept the claim, we return those vials to you at our own cost.

If you bought a single unit, analysis consumes it and there is nothing left to send back. This does not affect your claim. The laboratory report is the claim, and a single-unit purchase is treated exactly like any other.

Costs. We pay return postage on a claim, accepted or not. The cost of testing is yours.

Identifying the material. Our vials are not printed with lot numbers, so a claim is identified by your order number and by the photographs taken on receipt. The link between a laboratory report and what we shipped therefore rests on your account of it, and we accept that. We may verify a claim by testing material we retained or a sealed vial you returned; where two results conflict we may commission a third accredited laboratory at our own cost, and its result governs.

Our obligation. For nonconforming product our sole obligation is, at our option, replacement or refund in full of the amount paid for that product. If an order contained other products that conform to their specification, those are not refunded.

Refunds on orders paid in cryptocurrency. A refund is always of the US dollar amount paid at the time of purchase. If you paid the equivalent of $200, you are refunded $200, whatever that asset has done since; neither of us carries the other’s exchange-rate risk. We refund in the same asset you paid in, in the quantity equal to that dollar amount at the time we issue the refund, sent to an address you give us and confirm. If we cannot practically send that asset, we may refund an equal dollar value in a widely used dollar-pegged stablecoin, or by another method we agree with you. You are responsible for the accuracy of the address you provide; we cannot recover a transfer sent to an address you gave incorrectly. Any network fee for sending the refund is ours.

9. Compliance & export

You are responsible for compliance with all laws applicable to your purchase, possession, handling, and use of the materials, including institutional, local, state, federal, and export-control and sanctions regulations. Products are sold for delivery within the United States. You may not export, re-export, or transfer any product to an embargoed or sanctioned destination or restricted party. 10. No medical advice

Nothing on this site — including product descriptions, documentation, or support communications — is medical, veterinary, or professional advice, a dosing recommendation, or a therapeutic claim. We make no representation that any product is safe or effective for use in humans or animals. You assume full responsibility for your use of the materials.

11. Disclaimers & warranties

Except for conformance to the published specification for the product, products are provided “as is” without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement, to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, Elyria Bio’s aggregate liability arising from or relating to any product or order shall not exceed the amount you paid for that product, and we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss arising from use of a product in violation of these terms or our Compliance Policy. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Elyria Bio LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your purchase, handling, use, storage, disposal, resale, or transfer of any product, or your breach of these terms, our Compliance Policy, or applicable law.

14. Dispute resolution & arbitration

Any dispute arising out of or relating to these terms or any product will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Delaware, USA. You and Elyria Bio waive the right to a jury trial and agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information. If this arbitration provision is found unenforceable, disputes will be resolved in the state or federal courts located in Delaware.

15. General terms

We may update these terms from time to time; the “last updated” date reflects the current version, and continued use after changes are posted constitutes acceptance. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These terms, together with our Compliance and Privacy Policies, are the entire agreement between you and Elyria Bio regarding their subject matter, and may not be assigned by you without our consent.

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Questions: contact us.
